Terms of Service

These Terms of Service ("Terms") are an agreement between you and Burin Labs, LLC, a California limited liability company based in San Francisco ("Burin Labs," "we," "our," or "us"). By downloading, installing, or using Burin Code (the "Application"), using our online services (the "Service"), or visiting burincode.com (the "Website"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Application, the Service, or the Website.

If you use Burin Code on behalf of a company or other organization, you agree to these Terms for that organization and confirm that you have authority to do so. In that case "you" includes the organization.

Burin Code is a coding workbench with AI-powered coding assistance, code editing, terminal integration, and support for the Model Context Protocol (MCP). It is available as a Mac app and as a terminal app for macOS, Linux, and Windows, distributed through burincode.com, GitHub releases, npm, and Homebrew. The Application runs on your device and can connect to model providers, MCP servers, and optional Burin online services such as accounts, settings sync, and managed AI, as described in the Privacy Policy.

You must be at least 13 years of age to use Burin Code. If you are under 18, you must have the consent of a parent or legal guardian, and only an adult may buy a paid plan. You may not use the Service if you are barred from doing so under the laws of the United States or where you live.

Certain features of Burin Code require an account. You are responsible for:

An account is for one person. Do not share your sign-in or managed-inference grant with others. Notify us promptly at support@burincode.com of any unauthorized use of your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Burin Code on devices you own or control, for personal or professional software development, including commercial work. The end-user license that ships with each download also applies; if it conflicts with these Terms, these Terms control.

You may not:

Open-source components. Burin Code includes open-source software, including the Harn runtime, that is licensed to you under its own license terms. Those terms govern those components, and nothing in these Terms limits the rights an open-source license grants you.

When you use the Service, including managed AI and AI credits, you agree not to:

We may throttle, suspend, or disable managed AI or other online features for an account that we reasonably believe violates this section. Where practical we will tell you why and give you a chance to respond. Security researchers who find a vulnerability can report it to support@burincode.com.

Burin Code allows you to connect your own API keys for third-party AI providers and MCP servers. You are solely responsible for:

We are not responsible for the availability, accuracy, or conduct of third-party services you connect.

On the managed route, we pass your requests to third-party model providers. Those providers' usage policies apply to managed requests, and their availability can change. We may add, change, or remove the models available on the managed route.

You retain all rights to your source code, files, prompts, and other content ("Your Content"). We do not claim ownership of Your Content or use it to train our own models. Provider training and retention depend on your privacy settings and the selected route, as described in the Privacy Policy. You give us permission to process Your Content only as needed to provide the Service to you. Burin Code processes project files locally. If you select managed inference or another hosted feature, the prompts and selected context needed for that request pass through our services as described in the Privacy Policy.

AI output. As between you and us, you own the code and other output that Burin Code generates for you, and we assign to you any rights we have in it. Similar output may be generated for other users, and we cannot promise that output is protected by copyright or free of third-party rights. Review output, including its licensing, before you rely on or distribute it.

You are responsible for maintaining backups of Your Content. AI agents can change and delete files; use version control.

Feedback. If you send us suggestions or feedback, we may use them without obligation to you.

Burin Code offers Free and Pro plans. Pro costs $12 per month; founder pricing is locked for 12 months of continuous subscription. Current AI credit amounts and plan features are listed on the pricing page at burincode.com. All prices are in US dollars and do not include applicable taxes, which are calculated at checkout.

Payment seller. Purchases made through Stripe Managed Payments are sold through Link, Stripe's merchant of record service. Burin Labs, LLC operates Burin Code and provides product support.

Automatic renewal. Paid plans are monthly subscriptions. When you subscribe, you authorize recurring charges to your payment method at the plan's price at the start of each monthly billing period. Your subscription renews automatically every month until you cancel.

Cancellation. You can cancel online at any time with Manage billing or cancel on your account page at burincode.com/account/usage, without contacting us, or by emailing support@burincode.com. Cancellation stops future charges and takes effect at the end of the current billing period; you keep paid features until then. Refunds are handled under our Refund Policy (burincode.com/refund).

Price changes. We will give you at least 30 days' notice by email or in-app notice before a price change applies to your subscription. The new price applies from your next billing period after the notice period, and you can cancel before then to avoid it.

AI credits. Plans that include AI credits grant them at the start of each billing period. Credits reset at each renewal and do not roll over. They have no cash value, cannot be transferred or sold, and are not refundable except as stated in the Refund Policy or required by law. Managed requests use credits at the model provider's per-token price, and each plan's rate limits and monthly usage quota apply to managed requests. Your account page shows your usage and quota for the current period.

One-time support payments. Voluntary support payments are one-time charges, not subscriptions.

Failed payments. If a renewal payment fails, we may pause paid features until the payment method is updated.

Burin Code, including its design, code, documentation, logos, and trademarks, is the intellectual property of Burin Labs, LLC and its licensors. These Terms do not grant you any rights to our intellectual property except the limited license described above.

Burin Code is subject to United States export control and sanctions laws. You may not use, export, or re-export it in violation of those laws, including to a country or person subject to United States embargoes or sanctions.

BURIN CODE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

You use AI-generated code and agent actions at your own risk and are responsible for reviewing and testing them before use. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BURIN LABS, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE APPLICATION OR THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED US DOLLARS (US$100).

These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for willful injury.

You may stop using Burin Code at any time and may delete your account as described in the Privacy Policy.

We may suspend or terminate your access to the Service if you materially violate these Terms, if required by law, or if we discontinue the Service. We may also end your account for any other reason with 30 days' notice. If we end a paid subscription for a reason other than your violation of these Terms, we will refund the unused portion of the current billing period. Upon termination:

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco, California. Before filing a claim, please contact support@burincode.com so we can try to resolve it informally.

If you are a consumer residing outside the United States, nothing in these Terms takes away mandatory consumer protections of the country where you live. If you are a resident of Canada, nothing in these Terms affects your rights under applicable Canadian consumer protection legislation.

These Terms, the Privacy Policy, the Refund Policy, and the end-user license that ships with the Application are the entire agreement between you and us about Burin Code. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, and will tell you if we do.

We may update these Terms from time to time. We will notify you of material changes by posting a notice on burincode.com or within the Application, and by email at least 30 days before a material change applies to a paid subscription. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
